VeriTalent Terms & Conditions

1. Acceptance of these Terms

By creating an account, accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

These Terms should be read together with the following policies, each of which forms part of this Agreement:

• Privacy Policy
• Cookie Policy
• AI Transparency & Automated Decision Disclosure
• TAPI Credit & Program Access Policy
• Institutional TAPI Governance Framework
• Any applicable Program Terms, Enterprise Agreement or Supplemental Terms published by VeriTalent.

2. About VeriTalent

VeriTalent is a workforce intelligence platform developed and operated by Adsoft Online Ltd.

The Platform enables individuals and organisations to build trusted professional identities, verify career information, participate in workforce intelligence programmes, generate AI-assisted employability insights, and support evidence-based workforce and hiring decisions.

Platform capabilities may include:

• Digital professional identity
• AI Career Cards
• Verification services
• Career evidence management
• Workforce intelligence
• Hiring intelligence
• Talent Activity & Performance Intelligence (TAPI)
• AI-powered reports
• Career opportunities
• Enterprise workforce solutions
• APIs and integrations
• Platform features may change over time.

3. Eligibility

To use the Platform you represent and warrant that:

• you satisfy the minimum legal age required in your jurisdiction (and, where applicable, are at least sixteen (16) years old);
• you have legal capacity to enter into these Terms;
• information you provide is accurate and kept up to date;
• you will comply with applicable laws;
• where acting for an organisation, you have authority to bind that organisation.

4. User Accounts & Platform Roles

Creating an account gives you access to one or more authorised Platform roles.

Depending on verification status and permissions, a single account may support multiple roles, including:

• Talent
• Talent Partner
• Organisation Administrator
• Employer
• Institution Administrator
• Programme Administrator
• Other authorised roles introduced by VeriTalent.

4.1 Verification & Responsibility

Certain roles require additional identity, organisational or professional verification before access is granted.

You remain responsible for all activity occurring through your account.

5. Platform Services

VeriTalent provides technology services supporting employability, workforce intelligence, credential verification and hiring intelligence.

Services may include:

• AI Career Cards
• VeriTalent ID
• Verification services
• Career Evidence
• Professional References
• Workforce Intelligence
• Hiring Intelligence
• Talent Search
• AI Screening
• TAPI Programs
• Reports
• Enterprise services
• APIs
• Integrations

5.1 Availability

Availability of services may vary according to account type, subscription, membership, jurisdiction or applicable service agreement.

6. TAPI Enrollment, Programs & Credits

Certain Platform services require an active TAPI Enrollment, sufficient TAPI Credits, sponsorship by an approved organisation or other eligibility requirements.

The allocation, purchase, sponsorship, redemption, expiry and permitted use of TAPI Credits are governed by the TAPI Credit & Program Access Policy.

Participation in any TAPI Program is subject to applicable programme requirements.

Participation does not guarantee programme completion, certification, employment or any specific outcome.

7. User Content

You retain ownership of Content you submit to the Platform.

By submitting Content, you grant VeriTalent a non-exclusive, worldwide, royalty-free licence to:

• host and process your Content;
• verify submitted information;
• generate AI-assisted insights and reports;
• provide requested Platform services;
• improve, maintain and secure the Platform;
• make information available where authorised by you, necessary to provide Platform services, or otherwise permitted by applicable law.

7.1 Duration & Responsibility

This licence continues only for as long as reasonably necessary to provide the Platform or comply with legal obligations.

You are responsible for ensuring submitted information is accurate, lawful and does not infringe the rights of others.

8. Verification Services

The Platform facilitates verification of information through authorised verification workflows.

Verification services may include:

• employment verification;
• academic verification;
• professional references;
• supervisor acknowledgements;
• competency validations;
• identity verification; and
• other approved verification services.

8.1 Verification Outcomes

Verification outcomes depend upon information received from relevant third parties.

VeriTalent cannot guarantee that every verification request will receive a response or result in successful verification.

9. Artificial Intelligence Services

The Platform uses artificial intelligence to support various services, including workforce intelligence, employability insights, competency analysis, hiring intelligence, candidate screening, report generation and automation.

AI-generated outputs are intended to support—not replace—human judgement.

Unless expressly stated otherwise:

• AI outputs are informational;
• AI outputs are generated from available information and statistical models;
• AI outputs are not guarantees of performance, capability, employability or future outcomes;
• organisations remain responsible for recruitment, employment, academic and business decisions.

10. Payments & Premium Services

Certain Platform services require payment. These may include:

• memberships;
• subscriptions;
• verification services;
• enterprise services;
• institutional services;
• premium AI services;
• TAPI Credits; and
• other paid offerings.

10.1 Pricing

Applicable pricing, payment terms and refunds are governed by the relevant product terms and policies.

11. Acceptable Use

You agree to use the Platform responsibly and lawfully. You must not:

• provide false or misleading information;
• submit fraudulent records;
• impersonate another person or organisation;
• misuse verification services;
• manipulate AI-generated outputs;
• attempt unauthorised access;
• interfere with Platform operations;
• scrape Platform data without permission;
• upload malicious software;
• infringe intellectual property rights; or
• use the Platform for unlawful or harmful purposes.

11.1 Enforcement

VeriTalent may investigate suspected misuse and take appropriate action, including suspension or termination.

12. Intellectual Property

Except for User Content, all intellectual property rights relating to the Platform remain the property of Adsoft Online Ltd or its licensors.

This includes software, databases, algorithms, AI systems, documentation, reports, interfaces, trademarks and related proprietary materials.

Nothing in these Terms transfers ownership of VeriTalent intellectual property.

13. Privacy & Data Protection

VeriTalent processes personal information in accordance with applicable data protection laws and the VeriTalent Privacy Policy.

Our Privacy Policy explains how we collect, use, store, disclose and protect personal information, including information processed through AI-assisted services and verification workflows.

14. Third-Party Services

The Platform may integrate with third-party products and services including payment providers, applicant tracking systems (ATS), HR systems (HRIS), learning platforms (LMS), cloud infrastructure and other approved services.

VeriTalent is not responsible for the availability or performance of third-party services.

15. Platform Changes & Availability

We continuously improve the Platform.

Accordingly, we may modify, introduce, suspend or discontinue features, services or products where reasonably necessary.

Although we aim to provide reliable services, uninterrupted availability cannot be guaranteed.

16. Suspension & Termination

We may suspend, restrict or terminate Platform access where reasonably necessary, including where:

• these Terms are breached;
• fraudulent or unlawful activity is suspected;
• Platform security is at risk;
• required verification cannot be completed; or
• continued access could adversely affect the Platform or other users.

16.1 Voluntary Discontinuation

Users may discontinue use of the Platform at any time and may request account deletion, subject to applicable legal and regulatory obligations.

17. Disclaimers

The Platform is provided on an "as available" and "as is" basis.

Except as expressly stated, VeriTalent makes no warranty regarding:

• uninterrupted availability;
• accuracy of third-party information;
• employment outcomes;
• educational outcomes;
• funding outcomes;
• business outcomes; or
• suitability for any particular purpose.

17.1 AI Outputs

AI-generated outputs are decision-support tools and should not be treated as professional advice or guarantees.

18. Limitation of Liability

To the fullest extent permitted by law, Adsoft Online Ltd shall not be liable for indirect, incidental or consequential damages arising from use of the Platform.

Where liability cannot lawfully be excluded, our total aggregate liability shall not exceed the amount paid by the affected user for the relevant service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnity

You agree to indemnify and hold harmless Adsoft Online Ltd from claims arising from your breach of these Terms, misuse of the Platform, unlawful conduct or infringement of the rights of others.

20. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet failures, governmental actions, labour disputes or failures of third-party infrastructure.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

The parties shall first seek to resolve disputes through good-faith negotiation and mediation before commencing court proceedings.

Subject to applicable law, the courts of Lagos State, Nigeria shall have exclusive jurisdiction.

22. Electronic Communications

By using the Platform, you consent to receive electronic communications relating to your account, transactions, security, verification requests, programme participation and other Platform services.

Marketing communications remain subject to your communication preferences and applicable law.

23. General Provisions

These Terms, together with all documents incorporated by reference, constitute the entire agreement between you and VeriTalent.

If any provision is held invalid, the remaining provisions continue in effect.

Failure to enforce any provision does not constitute a waiver.

Certain provisions, including those relating to intellectual property, privacy, liability and dispute resolution, survive termination.

24. Changes to these Terms

We may revise these Terms from time to time to reflect legal, technical, operational or business developments.

Updated Terms will be published with a revised effective date.

Continued use of the Platform after that date constitutes acceptance of the revised Terms.
