VeriTalent TAPI Credit & Program Access Policy

1. Purpose

This TAPI Credit & Program Access Policy ("Policy") governs the allocation, purchase, sponsorship, redemption, use, validity and management of TAPI Credits across the VeriTalent Platform.

TAPI Credits are VeriTalent's standard access unit for eligible premium workforce intelligence services and TAPI Programs.

This Policy applies to individual users, organisations, institutions, sponsors, partners and other authorised users of TAPI-enabled services.

This Policy should be read together with:

• VeriTalent AI Transparency & Automated Decision Disclosure
• VeriTalent Institutional TAPI Governance Framework, where applicable

2. Definitions

For the purposes of this Policy:

• VeriTalent Platform means the digital platform and related services operated by Adsoft Online Ltd.
• TAPI means Talent Activity & Performance Intelligence, VeriTalent's workforce intelligence framework and technology for transforming activities, experiences, credentials, recommendations and related evidence into trusted Employability Intelligence and Workforce Intelligence.
• TAPI Credit means VeriTalent's standard access unit used to redeem eligible premium Platform services and participate in eligible TAPI Programs.
• TAPI Enrollment means VeriTalent's premium annual activation for individual users.
• VeriTalent-managed TAPI Program means a TAPI Program designed, delivered and managed directly by VeriTalent.
• Institution-managed TAPI Program means a TAPI Program established and managed by an approved organisation using the VeriTalent Platform and TAPI framework.
• Organisation includes employers, educational institutions, government agencies, NGOs, training providers, enterprises, sponsors and other approved entities using the Platform.

3. Free Platform Access

Creating and maintaining a VeriTalent account is free.

Registered users may access available core Platform features, which may include:

• Creating and managing a VeriTalent account
• Receiving a VeriTalent ID
• Building an AI Career Card
• Maintaining a trusted employability profile
• Managing verified records
• Requesting references and recommendations
• Discovering career opportunities
• Browsing available TAPI Programs
• Accessing other free Platform features made available by VeriTalent

3.1 Premium Services

Certain premium services require TAPI Credits.

4. TAPI Credits

TAPI Credits are VeriTalent's standard access unit for eligible premium Platform services.

TAPI Credits may be obtained through:

• TAPI Enrollment
• Direct purchase
• Institutional sponsorship
• Employer sponsorship
• Government sponsorship
• Development partner sponsorship
• Scholarships
• Promotions
• Approved partnership initiatives
• Other methods approved by VeriTalent

4.1 Nature of TAPI Credits

TAPI Credits:

• Have no cash value;
• Are not legal tender;
• Are non-transferable unless expressly authorised by VeriTalent; and
• May only be redeemed for eligible VeriTalent services and TAPI Programs.

5. TAPI Enrollment

TAPI Enrollment is VeriTalent's premium annual activation for individual users.

TAPI Enrollment: ₦18,000 / USD 18 per year

An active TAPI Enrollment provides:

• Annual allocation of 120 TAPI Credits
• Access to eligible VeriTalent-managed TAPI Programs
• Access to participating Institution-managed TAPI Programs, where applicable
• Advanced AI Career Card features
• Talent Intelligence Reports
• AI-powered Employability Intelligence
• Other applicable benefits available during the active enrollment period

5.1 Additional Credits

Users may purchase additional TAPI Credits where their available balance is insufficient for eligible services or Program participation.

Current enrollment benefits and pricing may be updated from time to time.

6. TAPI Program Categories

VeriTalent supports two categories of TAPI Programs.

6.1 VeriTalent-managed TAPI Programs

These Programs are designed, delivered and managed directly by VeriTalent. Examples may include:

• NYSC-TAPI Program
• SWIL-TAPI Program
• Verifiable Work Activity-TAPI Program
• Other VeriTalent-managed TAPI Programs

6.2 Institution-managed TAPI Programs

These Programs are established and managed by approved organisations using the VeriTalent Platform and TAPI framework. They may include:

• Internship Programs
• Fellowship Programs
• Graduate Trainee Programs
• University Employability Programs
• Corporate Workforce Development Programs
• Bootcamp Programs
• Other approved institutional Programs

6.2.1 Additional Requirements

Institution-managed TAPI Programs may have additional eligibility, participation or program requirements established by the participating organisation.

7. TAPI Credit Bundles

Approved organisations may purchase TAPI Credits for their own use, participant allocation or Program sponsorship.

• 200 Credits — ₦40,000 / USD 40
• 400 Credits — ₦70,000 / USD 70
• 2,000 Credits — ₦300,000 / USD 300
• 10,000 Credits — ₦1,250,000 / USD 1,250

7.1 Pricing Changes

VeriTalent may modify pricing, bundle sizes or promotional offers from time to time.

8. Accessing TAPI Programs

Participants may access eligible TAPI Programs through:

Using TAPI Credits available through an active TAPI Enrollment.

8.B Sponsored Access

Using TAPI Credits allocated by an institution, employer, government agency, NGO, development partner, sponsor or other approved organisation.

8.C Additional Credit Purchase

Purchasing additional TAPI Credits where the participant's available balance is insufficient. Available individual credit packs may include:

• 10 Credits — ₦2,000 / USD 2
• 30 Credits — ₦5,000 / USD 5
• 60 Credits — ₦9,000 / USD 9

8.C.1 Revisions

VeriTalent may revise available credit packs from time to time.

Some Programs may also have additional eligibility or participation requirements.

9. TAPI Credit Consumption

TAPI Credits are redeemed when eligible premium services are used.

• AI Candidate Screening — 1 Credit
• TAPI Submission & Intelligence Processing — 2 Credits
• Additional TAPI Evidence Submission not already existing in a Platform record — May require additional Credits
• Cohort Intelligence Report — 1 Credit per Participant

9.1 Revisions

Additional services may have different credit requirements.

VeriTalent may introduce or revise credit requirements as new services and capabilities are introduced.

10. Recommended Program Credit Allocation

The following are recommended allocations for Program planning:

• 1 Month — 30 Credits
• 3 Months — 50 Credits
• 6 Months — 80 Credits
• 10–12 Months — 120 Credits

10.1 Indicative Only

These recommendations are indicative and may vary depending on Program design, activities and services used.

11. Sponsorship

Approved organisations may sponsor participant access through:

• Individual sponsorship
• Cohort sponsorship
• Program sponsorship
• Organisation-wide sponsorship

11.1 Sponsor Determinations

Sponsors may determine, where supported by the Platform:

• Number of participants
• Credit allocation
• Program duration
• Eligibility criteria
• Participation requirements
• Reporting requirements

11.2 Policy Applicability

Sponsored TAPI Credits remain subject to this Policy.

12. Enterprise Administration

Eligible enterprise and institutional customers may:

• Purchase TAPI Credit bundles
• Allocate Credits to participants
• Sponsor TAPI Programs
• Monitor Credit utilisation
• Generate Workforce Intelligence reports
• Manage administrators and permissions
• Access applicable enterprise dashboards and analytics

12.1 Separate Agreements

Additional enterprise functionality may be governed by separate commercial agreements.

13. Credit Validity

Unless otherwise agreed or stated:

• TAPI Enrollment Credits remain valid throughout the active enrollment period.
• Purchased Credits remain valid for twelve (12) months from purchase.
• Sponsored Credits remain valid for the period determined by the sponsoring organisation or Program.
• Expired Credits cannot be redeemed, transferred, exchanged or converted into cash.

14. Fair Use

To protect the integrity, security and sustainability of the Platform, VeriTalent may:

• Monitor unusual usage;
• Detect fraudulent activity;
• Restrict excessive automated activity;
• Audit sponsorship allocations;
• Prevent unauthorised transfer, resale or misuse of TAPI Credits; and
• Suspend or investigate accounts where misuse is suspected.

14.1 Enforcement

VeriTalent may take appropriate action where misuse or unauthorised activity is identified.

15. Reporting & Analytics

Eligible organisations may access reporting and analytics relating to:

• Credit utilisation
• Participant engagement
• Program participation
• Program performance
• Employability Intelligence
• Workforce Intelligence
• Cohort analytics
• Sponsorship utilisation
• Other authorised reporting features

15.1 Availability

Available reports depend on the applicable subscription, partnership or enterprise arrangement.

16. Policy Updates

VeriTalent may update this Policy from time to time to reflect:

• Product enhancements
• New Platform capabilities
• New TAPI Programs
• Changes to pricing or service availability
• Operational improvements
• Legal or regulatory requirements
• Business developments

16.1 Acceptance of Updates

Where appropriate, material changes will be communicated through the Platform or other reasonable means.

The latest published version supersedes previous versions. Continued use of the Platform after an updated Policy becomes effective constitutes acceptance of the revised Policy.

TAPI Credits provide access to eligible VeriTalent services and TAPI Programs only. They do not guarantee:

• Admission to any Program
• Continued participation in any Program
• Program completion
• Employment
• Recruitment outcomes
• Educational outcomes
• Business performance
• Organisational outcomes
• Any other specific result

17.1 AI-Generated Intelligence

AI-generated Employability Intelligence and Workforce Intelligence are intended to support informed decision-making and should not be treated as guarantees, certifications or professional advice.

Users and organisations remain responsible for exercising appropriate professional judgement when interpreting Platform outputs.
